1. Scope
1.1 These terms apply to every quotation, proposal and agreement between Blik Insights S.L. (“Blik Insights”, “we”) and the client (“you”) for consultancy, research, marketing and training services (the “Services”).
1.2 We work exclusively with businesses. These terms are not intended for consumers.
1.3 Deviations from these terms are only valid if agreed in writing; email is sufficient. Your own purchasing or other terms do not apply unless we accept them in writing.
1.4 If any provision of these terms is invalid, the rest remains in force. We will then agree on a valid provision that comes as close as possible to the purpose of the original.
2. Quotations and agreement
2.1 Our quotations are valid for 30 days, unless stated otherwise.
2.2 Prices are in euros and exclude VAT and travel and accommodation costs, unless stated otherwise.
2.3 An agreement is concluded when you accept our quotation in writing (email is sufficient), or when we start work at your request.
3. How we work
3.1 We perform the Services to the best of our knowledge and ability, with due professional care. Our commitment is to the quality of our work, not to a specific commercial result: we cannot guarantee outcomes such as sales, leads or market share.
3.2 Timelines are indicative, unless we have expressly agreed a fixed deadline.
3.3 You provide the information, access and cooperation we reasonably need on time, including access to your people and, where agreed, to your customers. If input is late or incomplete, timelines and costs may change; we will tell you as soon as we see this happening.
3.4 Where needed, and after consulting you, we may involve third parties such as designers, translators, printers or fieldwork agencies. We remain responsible for their work towards you.
3.5 If the scope of the work changes, we agree in writing beforehand on the effect on price and timing.
3.6 You review and approve deliverables before they are used or published. In particular, you are responsible for the accuracy of technical, product and legal claims in marketing and sales materials. Deliverables are considered approved if we have not received comments within 14 days of delivery.
4. Fees, expenses and payment
4.1 Our fees are set out in the quotation, as a fixed price or on a time basis.
4.2 Travel and accommodation costs are charged at cost and, where possible, agreed in advance.
4.3 We may invoice in stages, for example part at the start and the remainder on delivery, as set out in the quotation.
4.4 Invoices are payable within 30 days of the invoice date.
4.5 If an invoice is paid late, statutory late payment interest and compensation for recovery costs apply under Spanish Law 3/2004 on combating late payment in commercial transactions. If an invoice remains unpaid after a reminder, we may suspend our work until it is paid.
4.6 For agreements running longer than twelve months, we may adjust our rates once a year, with at least two months’ written notice.
5. Cancellation and termination
5.1 You may cancel an agreement at any time in writing. You then pay for the work done and costs incurred up to that moment, plus any costs we have committed to that cannot be cancelled.
5.2 If you cancel or reschedule an interview day, workshop or training session less than ten working days in advance, we may charge 50% of the fee for that session; less than three working days in advance, 100%. Non-refundable travel costs are always charged.
5.3 Either party may terminate the agreement with immediate effect if the other party seriously fails to meet its obligations and does not remedy this within 14 days of written notice, or if the other party becomes insolvent.
6. Confidentiality
6.1 Both parties keep confidential all information received from the other that is marked as confidential or that should reasonably be understood as such, and use it only for the agreed work.
6.2 This does not apply to information that is publicly available, was already known to the receiving party, was developed independently, or must be disclosed by law.
6.3 This obligation continues for three years after the end of the agreement. If we sign a separate confidentiality agreement, that agreement prevails.
7. Intellectual property
7.1 Once you have paid in full, we transfer to you the exploitation rights to the deliverables we have created specifically for you, such as reports, presentations, texts and designs, so that you can use them freely in your business.
7.2 We keep the rights to our own methods, models, templates, know-how and materials that existed before the assignment. Where these are part of a deliverable, you may use them as part of that deliverable.
7.3 Third-party materials, such as stock images, fonts or data, are subject to their own licence terms. We will tell you when this applies.
7.4 We may use the general knowledge and experience gained during the work in other assignments, without disclosing your confidential information.
8. References
We may mention your company name and a short, general description of our work as a reference, for example on our website or LinkedIn, unless you object in writing. We only publish detailed case studies, quotes or results with your prior approval.
9. Personal data
9.1 Both parties comply with the General Data Protection Regulation (GDPR) and Spanish data protection law.
9.2 Where we process personal data on your behalf, for example in customer interviews, we act as data processor and follow your instructions. Where required, we sign a data processing agreement. How we handle personal data ourselves is explained in our privacy statement.
10. Liability
10.1 Our total liability is limited to direct damage, up to the amount of the fees invoiced and paid for the assignment concerned. For agreements running longer than twelve months, this is the amount of the fees paid in the twelve months before the event that caused the damage.
10.2 We are not liable for indirect damage, including lost profits, lost revenue, missed savings or business interruption.
10.3 We are not liable for damage caused by incorrect or incomplete information you provided. You remain responsible for the business decisions you make based on our advice.
10.4 These limitations do not apply to damage caused by intent or gross negligence.
10.5 Please report any complaint about our work in writing within 30 days of discovering it, so that we can investigate and put it right.
11. Force majeure
11.1 Neither party is liable for a failure to perform caused by circumstances beyond its reasonable control, such as natural disasters, epidemics, government measures or serious travel disruption.
11.2 If such a situation lasts longer than 60 days, either party may terminate the agreement in writing. Work already done is paid for.
12. Governing law and disputes
12.1 These terms and all agreements with Blik Insights are governed by Spanish law.
12.2 We will first try to resolve any dispute together. If that fails, the courts of Málaga (Spain) have exclusive jurisdiction, unless mandatory law provides otherwise.
12.3 These terms are written in English. If they are translated, the English version prevails.
12.4 We may update these terms. The version in force when an agreement is concluded applies to that agreement.
